Catherine Livingston is a Director in the Boston office, providing strategic communications support to a wide range of clients on a variety of transactions and special situations, including M&A, IPOs, litigation, crisis matters, proxy contests, and management changes, as well as ongoing investor relations and corporate positioning projects.

Catherine’s notable assignments include providing support to: Klaviyo on its IPO on the NYSE; Nano Dimension on its activist defense against Murchinson Ltd; Alkermes on its proxy defense against Sarissa Capital Management LP; American Equity on its sale to Brookfield Reinsurance for $4.3 billion; Spirit Airlines on its sale to JetBlue for $3.8 billion; Spirit Airlines on its merger, later terminated, with Frontier Group Holdings in a transaction valued at $6.6 billion; Trimble on its acquisition of Transporeon; Douglas Elliman on its spinoff from Vector Group and listing on the NYSE; Lantheus on its strategic collaboration and exclusive license agreements with POINT Biopharma; Slack on its sale to Salesforce; American Equity on its strategic partnership with Brookfield Asset Management and hostile takeover defense against Athene & MassMutual; Inspire Brands on its acquisitions of Dunkin’ Brands, Sonic and Jimmy John’s; 21st Century Fox on its sale to Disney; Herbalife Nutrition on its investigation by the FTC and activist defense against Bill Ackman / Pershing Square; Univision on its announcement of a strategic review and sale to Searchlight Capital Partners and ForgeLight; Univision on the sale of assets comprising Gizmodo Media Group and The Onion to Great Hill Partners; and Uber, Sonos, AMTD International, and IHS Towers on their respective IPOs.
